Welcome to BIDZ, Inc. (“BIDZ”). These Terms and Conditions (“Terms”) govern your access to and use of the BIDZ website (“Site”) and platform, including its desktop, mobile functionality, and app (“Platform”). By using BIDZ, you agree to these Terms. If you do not accept them, please discontinue use immediately.
By accessing the Site or Platform, you agree to abide by these Terms, as well as our Privacy Policy. BIDZ reserves the right to modify these Terms at any time. Continued use after updates constitutes your acceptance of the revised Terms.
2. Purpose of the Platform
BIDZ is an influencer marketplace for services and communications, enabling users to connect with service providers, such as influencers, content creators, and industry professionals, for paid interactions, services, and direct messaging (DM) auctions.
The BIDZ Platform facilitates:

Selling Services: Influencers and creators can offer services, including tweets, retweets, shoutouts, social media shares, content creation, private video/audio messages, and other exclusive interactions.
•
DM Auctions: Buyers bid for influencers’ attention through paid DMs, ensuring prioritized engagement.
•
Affiliate Marketing & Task-Based Rewards: Users earn BIDZ Points by referring others or completing assigned tasks.
•
Community Rewards: Influencers can distribute BIDZ Points to loyal users, enabling free access and rewarding engagement.
Users must not engage in:
•
Illegal activities violating any local, state, national, or international laws.
•
Fraudulent transactions, impersonation, or misrepresentation.
•
Abuse of platform features, including unauthorized automation tools or exploits.
•
Gambling, lotteries, or unapproved games of chance.
•
Hate speech, harassment, or offensive content.
•
Unauthorized third-party integrations or data collection.
•
Allowing individuals under 18 to use the platform unless permitted by local jurisdiction.
4. No Cryptocurrency Trading or Endorsement
BIDZ does not engage in crypto trading, swapping or speculation. Crypto payments are handled via smart contracts and not BIDZ. Platform fees are collected in the same currency used for payment.

Earning Points: Users earn BIDZ Points through platform participation, affiliate marketing, and task completion.
•
Expiration of Points: Points may expire if an account violates community guidelines or engages in fraudulent behavior.
•
Reward Distribution: BIDZ Points hold no monetary value outside the Platform but can be used for platform services and marketplace rewards.
6. Affiliate Marketing and Task-Based Rewards
•
Users can earn BIDZ Points by referring others or completing platform tasks.
•
BIDZ reserves the right to verify participation and deny rewards for fraudulent activity.
•
Some tasks may require interactions with third-party services, subject to their respective terms.
•
Rewards are non-transferable and cannot be exchanged for real-world currency unless specified by BIDZ.
Affiliate Program Commission Structure: Users receive 10% of the profits BIDZ makes from referred users’ DM auction spending and 10% of the profits BIDZ makes from referred influencers’ DM auction income, totaling 20% profit sharing from DM auction activity. The commission percentage is subject to change.
7. Service Orders & Payment Structure
•
Placing Orders: Users select a service, set preferences, and provide detailed instructions.
•
Influencer Acceptance: Influencers can accept or reject service orders.
Order Cancellation Policy:
•
Users can not cancel orders within the first 24 hours of placing them.
•
After 24 hours, cancellations are permitted only if the job has not yet been accepted by the service provider.
•
Influencers may cancel orders at any time, with the full amount refunded to the buyer.
Payments are released only upon successful completion of the service.
In case of disputes, BIDZ may review order-related communications to resolve the issue.
Users are responsible for:
•
Securing their login credentials.
•
Compliance with local regulations and platform guidelines.
•
Honest participation in rewards and affiliate programs.
•
Service providers may require verification based on activity volume.
If users exchange external contact information, they do so at their own risk. While BIDZ does not restrict off-platform connections, BIDZ is not responsible for interactions that occur outside the platform. Users can report issues, block users, and delete their account if needed.
9. Content Ownership and User-Generated Content
•
BIDZ owns all platform content except user-generated content (e.g., profile pictures, messages).
•
By uploading content, users grant BIDZ a limited, non-exclusive license for platform functionality.
10. Third-Party Payments and Links
•
BIDZ integrates with third-party payment processors but does not control their services.
•
BIDZ is not responsible for issues arising from third-party transactions.
Use of BIDZ is subject to our Privacy Policy. BIDZ complies with data protection laws, and users can access, modify, or delete their data.
Transaction fees apply to service interactions and premium features. BIDZ Points and Diamonds are non-refundable unless otherwise stated. Platform fees are collected in the same currency used for transactions.
Withdrawal Fees & Adjustments
BIDZ applies a flat withdrawal fee for token withdrawals, which accounts for both blockchain network fees and platform operational costs.
•
Withdrawal fees are fixed at the time of transaction and displayed on the withdrawal page before confirmation.
•
Fees may change based on blockchain congestion, network costs, and platform expenses.
•
BIDZ reserves the right to adjust fees without prior notice, but the latest rates will always be available on the Platform Fees Page.
•
Users acknowledge that BIDZ may charge a higher flat fee than the actual network cost to ensure stability and cover processing.
BIDZ is not responsible for additional gas fees imposed by third-party wallets or exchanges when transferring funds outside the platform.
BIDZ may suspend or terminate accounts for violations of these Terms.
Disputes are resolved through binding arbitration under Wyoming law. Users waive rights to lawsuits or class actions.
BIDZ is not liable for service interruptions due to external factors such as natural disasters or regulatory changes.
16. Beta Phase Disclaimer
The BIDZ Platform is in beta testing. Certain functionalities may be incomplete or subject to change. Use at your own risk.
These Terms are governed by the laws of Wyoming, USA.
18. Sale and Buyback of Power Points
•
Users must purchase Power Points to utilize supported cryptocurrency tokens on BIDZ.
•
For example: When transferring 1 SOL to the platform, the user is purchasing 1 SOL Power Point.
•
On BIDZ, only Power Points are used; no actual tokens are utilized within the platform.
•
This process is automated and will eventually be fully managed by smart contracts.
•
Power Points are not tokens and have no monetary value.
•
Buyback requests to exchange Power Points for tokens are subject to approval.
•
KYC verification may be required for certain transactions.
•
BIDZ does not act as a custodian or exchange; it only facilitates the marketplace sale of digital products and items intended for platform use.
